Terms and Conditions of Service

This document, the Terms and Conditions ("Terms"), is a legally binding agreement between you, the user, whether personally or on behalf of a business entity ("you"), and Code Wize Technologies LLC ("Aftersay," "we," "us," or "our"), regarding your access to and use of the Aftersay.app website and any related services, features, content, and applications (collectively, the "Service").

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

1. Eligibility and User Accounts

1.1. Eligibility.

The Service is intended for commercial use and is available only to businesses and sole proprietors. By using the Service, you represent and warrant that you have the legal capacity to enter into this agreement. You further agree that you are not a consumer and are using the Service for commercial purposes.

1.2. Account Information.

To access the Service, you must create an account. During the account creation process, we will collect your name, email, business name, business address, business logo, business website address, business industry, and links to your existing review platforms. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update this information.

1.3. Account Security.

You are responsible for maintaining the confidentiality of your account password and are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

2. The Service and Acceptable Use

2.1. Service Description.

Aftersay provides a SaaS platform that automates the collection of client feedback and public reviews on various platforms, including but not limited to Google and Yelp, to help businesses manage and preserve their reputation.

2.2. Acceptable Use.

You agree not to use the Service for any purpose that is unlawful, prohibited by these Terms, or for any other purpose not reasonably intended by Aftersay. Prohibited activities include, but are not limited to: harassment, spamming, collecting sensitive personal data without proper consent, using the Service for illegal activities, or engaging in any conduct that restricts or inhibits anyone's use or enjoyment of the Service.

3. Subscription, Billing, and Payments

3.1. Subscription.

The Service is offered on a monthly subscription basis. We may offer a free trial period without requiring a credit card.

3.2. Billing.

By providing a payment method, you authorize us to charge you a monthly subscription fee. Your subscription will automatically renew each month unless you cancel it.

3.3. Refunds.

We will refund your last monthly payment only. This policy is in place because usage is reset each month, and you have had access to the Service for that month's billing cycle.

3.4. Non-Payment.

If a payment fails, your account's review collection and workflow automations will be paused. We will attempt to contact you to resolve the issue. If no response is received within three (3) months of our initial contact, your account will be deleted, and all associated data will be permanently removed.

4. Intellectual Property and User Content

4.1. User Ownership.

You retain full ownership of all feedback, reviews, client data, business logos, and any other content you upload to or collect through the Service ("Your Content"). Aftersay does not claim any ownership rights to Your Content.

4.2. Our License to You.

Subject to these Terms, Aftersay grants you a limited, non-exclusive, non-transferable license to access and use the Service for your commercial purposes.

4.3. Your License to Us.

You grant Aftersay a limited, non-exclusive, worldwide, royalty-free license to use, display, and process Your Content solely for the purpose of providing the Service to you. This includes, for example, displaying the reviews within your Aftersay dashboard.

4.4. User Responsibility for Data.

You are solely responsible for the legality of Your Content and for ensuring that you have the necessary rights, licenses, and consents from your clients to collect and use their feedback and data in compliance with all applicable laws and regulations. Aftersay is not responsible for the data you upload or process through the Service.

5. Disclaimers and Limitation of Liability

5.1. "As Is" Service.

The Service is provided on an "as is" and "as available" basis. Aftersay expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While we aim for 99.9% uptime, we do not guarantee that the Service will be uninterrupted, error-free, or completely secure.

5.2. Credits for Interruption.

In the event of a significant service interruption, we may, at our discretion, offer credits to affected users upon request.

5.3. Limitation of Liability.

To the fullest extent permitted by law, in no event shall Aftersay, its affiliates, or their respective directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Aftersay's total cumulative liability to you for any and all claims related to the Service will not exceed the total amount of fees paid by you to Aftersay in the twelve (12) months preceding the event giving rise to the claim.

6. Termination of Service

6.1. Termination by User.

You may terminate your account at any time by following the account deletion process within the Service. This will immediately terminate your subscription, and all of Your Content will be permanently deleted from our servers. You are responsible for downloading any invoices, receipts, or data you wish to keep before deleting your account.

6.2. Termination by Aftersay.

We may suspend or terminate your account at our discretion, including for reasons of non-payment or a violation of these Terms.

6.3. Data Deletion Upon Termination.

Upon the termination of your account, whether by you or by us, all of Your Content will be immediately deleted. No backups will be retained.

7. Governing Law and Dispute Resolution

7.1. Governing Law.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

7.2. Dispute Resolution.

Any dispute or claim arising from or related to these Terms or your use of the Service shall be resolved by binding arbitration administered by a recognized arbitration service in Florida, United States. The arbitration will be conducted on a confidential basis, and the award rendered by the arbitrator(s) shall be final and binding.

7.3. Class Action Waiver.

You agree to a class-action waiver, which means that you may not participate in any class action suit against Aftersay. You may only bring claims against us in your individual capacity.

8. General Provisions

8.1. Entire Agreement.

These Terms constitute the entire agreement between you and Aftersay regarding your use of the Service.

8.2. Changes to the Terms.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Service after the effective date of the new Terms constitutes your acceptance of the changes.
